The terms under which Reimagine offers services. Written to be readable, not to hide anything behind legalese.

1. Agreement to terms

By accessing or using the Reimagine Digital Marketing website (reimaginedigital.marketing), booking a discovery call, or entering into a service engagement with us, you agree to these Terms and Conditions and to our Privacy Policy. If you do not agree, do not use the site or our services.

For the purposes of these Terms, 'Reimagine', 'we', 'us', and 'our' refer to Reimagine Digital Marketing, a Central Florida digital marketing agency. 'You', 'Client', and 'your' refer to any individual or business that uses our website or engages us for services.

2. Services we offer

Reimagine provides marketing services to home service contractors in Central Florida, including Local SEO, Google Ads management, Meta Ads management, Website Design, Content and SEO, and Reputation Management. The full scope of each service is described on our Services pages.

Services are offered in five packages (Starter, Activate, Intermediate, Growth, Scale), with the specific deliverables and scope of each package documented on our Pricing page. At the time of engagement, we confirm the exact scope in a written Statement of Work signed by both parties.

3. Engagement process

Every engagement begins with a discovery call at no cost. During the call, we confirm territory availability, understand your business, and determine if we are a mutual fit. We reserve the right to decline any engagement where we believe we cannot deliver meaningful results.

If we proceed, we send a Statement of Work and a service agreement for your review. Services do not begin until the agreement is signed and the first invoice is paid.

4. Territory exclusivity

Reimagine operates under a territory-exclusive engagement model. When you sign an active engagement, your trade (e.g., roofing, garage doors, plumbing, pool service, pest control, HVAC) is locked in your metropolitan area for the duration of your active service. We will not onboard a direct competitor in the same trade and metro area while you are active.

Territory exclusivity is tied to active, paid-in-full status. If you pause, cancel, or your payment falls more than 30 days delinquent, your territory is considered reopened and may be offered to the next qualified contractor on our waitlist. This is contractual and non-negotiable.

Territory scope is defined in the Statement of Work and covers the specific trade and metro area you serve. If you expand into adjacent metros later, we can extend territory exclusivity to those areas subject to availability and an updated Statement of Work.

5. Payment terms

All services are billed monthly in advance via ACH or credit card. The first invoice is due upon signing. Subsequent invoices are issued on the same calendar date each month and due upon receipt.

For packages that include paid advertising management (Google Ads, Meta Ads), the management fee is paid to Reimagine monthly. Ad spend itself is billed directly by the advertising platform to the Client's own accounts and is not included in the monthly management fee. We recommend each Client maintain their own billing relationship with Google and Meta for transparency and control.

Payments that are more than 10 days delinquent may result in service suspension until the account is current. Payments that are more than 30 days delinquent may result in termination of the engagement at our discretion, and territory exclusivity is forfeited immediately upon termination.

6. Initial engagement period and cancellation

Every new engagement includes an initial 3-month foundation period. This period exists because Local SEO and content work require a minimum of 3 months to meaningfully compound, and shorter engagements cannot produce honest results.

During the initial 3-month period, the engagement cannot be cancelled except in cases of material breach by Reimagine, in which case any unused pre-paid fees will be refunded within 14 business days.

After the initial 3-month period, either party may cancel the engagement at any time with 30 days written notice. All deliverables already produced, including the custom-built website, city pages, content, GBP optimizations, and configured systems, remain the property of the Client.

Every engagement includes a custom-built website whose cost is amortized over 12 months at 0% interest. If the Client cancels before the 12-month mark, the remaining website balance becomes due upon cancellation. The website remains the permanent property of the Client regardless of when cancellation occurs. This is not an early termination penalty but payment for an asset the Client retains ownership of.

If Reimagine fails to deliver substantive progress during the initial 3-month period (defined as the absence of meaningful ranking improvements in any target city), the Client may cancel at the end of the 3-month period without penalty, including waiver of any remaining website balance, and receive a refund of any pre-paid fees for months beyond the 3rd month.

7. Client responsibilities

For Reimagine to deliver the services purchased, the Client agrees to:

  • Provide accurate and complete business information at the start of the engagement.
  • Grant the necessary access to platforms where work will be performed (Google Business Profile, website admin, ad accounts, etc.) in a timely manner.
  • Review and approve deliverables within 5 business days of delivery, or they are deemed approved.
  • Attend scheduled strategy calls (weekly during foundation, monthly after) or provide 24-hour notice to reschedule.
  • Respond to questions from the Reimagine team within a reasonable timeframe (generally 2 business days).
  • Maintain good standing with Google, Meta, and other third-party platforms the engagement depends on.
  • Operate a legal, legitimate home service contracting business with all required licenses, insurance, and permits.

8. What Reimagine does not guarantee

We do not guarantee specific keyword rankings, specific lead volumes, specific revenue outcomes, or any particular outcome that depends on factors outside our control. Any agency that guarantees these is either lying or operating dishonestly.

Search engines and advertising platforms change their algorithms, policies, and terms regularly. These changes can affect results we deliver regardless of the quality of the work. We respond to platform changes as they occur, but we cannot prevent them or guarantee they will not impact your campaigns.

What we do guarantee is the quality of our work, the transparency of our reporting, and the fact that every tactic in our playbook has been tested on our own contractor (Rocket Garage Door Services) before it ships to a Client engagement.

9. Intellectual property

All content, strategies, reports, deliverables, and assets produced under an active engagement belong to the Client once paid for. This includes city pages, service pages, blog content, ad creatives, email copy, written strategies, and any other tangible work product. Upon cancellation, the Client retains full ownership of these deliverables and they remain in the Client's Google Business Profile, website, ad accounts, and other platforms.

Reimagine retains ownership of its proprietary methodology, internal playbooks, research (including Dr. Kebar Y's thesis-derived frameworks), templates used internally to produce Client work, and any aggregate benchmarks or anonymized performance data derived from multiple engagements.

Neither party may use the other party's name, logo, or confidential information for promotional purposes without prior written consent, except that Reimagine may reference its Client roster in aggregate terms and in case studies where the Client has given written permission.

10. Confidentiality

Both parties agree to keep confidential any non-public business, financial, operational, or strategic information shared during the engagement. Confidentiality extends beyond the term of the engagement and remains in force indefinitely for information that remains non-public.

11. Limitation of liability

To the fullest extent permitted by Florida law, Reimagine's total liability to the Client under any theory of law (contract, tort, negligence, strict liability, or otherwise) is limited to the total amount the Client paid to Reimagine in the 3 months preceding the claim.

Reimagine is not liable for indirect, incidental, consequential, special, or punitive damages, including but not limited to lost profits, lost revenue, lost business opportunities, or damage to reputation, regardless of whether such damages were foreseeable.

Nothing in this section limits liability for gross negligence, willful misconduct, or any liability that cannot be limited under applicable law.

12. Indemnification

The Client agrees to indemnify and hold harmless Reimagine and its founders from claims, damages, or expenses arising from (a) the Client's business operations, products, or services, (b) false or misleading information provided by the Client, (c) the Client's violation of third-party rights or applicable laws, or (d) the Client's violation of the terms of third-party platforms (Google, Meta, etc.).

13. Governing law and dispute resolution

These Terms and any service agreement between Reimagine and the Client are governed by the laws of the State of Florida, United States, without regard to conflict of law principles.

Any dispute arising from or relating to these Terms or an engagement will first be addressed through good-faith direct negotiation between the parties. If the dispute cannot be resolved directly within 30 days, both parties agree to binding arbitration in Polk County, Florida, conducted under the rules of the American Arbitration Association. The prevailing party in any arbitration or legal proceeding is entitled to recover reasonable attorney fees and costs.

14. Force majeure

Neither party is liable for delays or failures to perform caused by circumstances beyond reasonable control, including natural disasters, hurricanes (common in Florida), pandemics, war, terrorism, labor disputes, internet outages, or platform-wide service disruptions affecting Google, Meta, or similar providers.

15. Changes to these terms

We may update these Terms from time to time to reflect changes in our services, business practices, or applicable law. When we do, we will update the 'Last Updated' date at the top of this page. For material changes affecting active engagements, we will notify Clients by email at least 30 days before the changes take effect.

16. Entire agreement

These Terms, together with the signed Statement of Work and service agreement for each engagement, constitute the entire agreement between Reimagine and the Client regarding the subject matter. No other representations, promises, or agreements apply unless made in writing and signed by both parties.
